Terms of Service

Last updated: May 2026

1. Who you are contracting with

These Terms govern your access to and use of the CBYD Protect platform (the "Service"), operated by AI Copytrade ("we", "us", "our"). By creating an account or using the Service you ("you", "user") agree to these Terms.

2. Account and authority

You must be of legal age to enter into a contract and, if registering on behalf of an organisation, you confirm you have authority to bind that organisation. You are responsible for keeping your credentials confidential and for activity under your account, and you agree to provide accurate information and keep it up to date.

3. The Service

CBYD Protect helps contractors notify asset owners about planned excavation works and manage the related coordination, notifications, comments, and audit trail. The Service is provided on an "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose, and we disclaim all implied warranties to the fullest extent permitted by law.

4. Acceptable use

You agree not to misuse the Service, including:

5. Intellectual property

We retain all right, title, and interest in and to the Service, including all software, content, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes under your subscribed plan.

6. User content

You retain ownership of the content you submit (dig job data, comments, attachments). You grant us a worldwide, non-exclusive licence to host, store, transmit, and process that content solely to operate and provide the Service. You are responsible for ensuring you have the rights to submit such content.

7. Payments, credits, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns. Payment, billing, taxes, currency conversion, cancellations, and refund mechanics are governed by Paddle's Buyer Terms.

Credits are pre-paid units used to send notifications through the Service. Pricing is shown on the Pricing page and at checkout. The price charged at checkout is authoritative. Subscriptions, where offered, renew at the end of each billing period until cancelled.

8. Refunds

See our Refund Policy for refund eligibility and how to request a refund through Paddle.

9. Suspension and termination

We may suspend or terminate your access at any time for: (a) material breach of these Terms; (b) non-payment; (c) suspected fraud, abuse, or security risk; or (d) repeated or serious violations of our acceptable-use rules. You may stop using the Service at any time. On termination, your right to use the Service ends; we may provide you with a reasonable window to export your data, after which it may be deleted in accordance with our Privacy Notice.

10. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the twelve (12) months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold us harmless from third-party claims arising out of your content, your use of the Service in breach of these Terms, or your unlawful conduct.

12. Governing law and disputes

These Terms are governed by the laws of the seller's principal place of business, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, unless mandatory local consumer law provides otherwise.

13. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labour disputes, or failures of telecommunications or internet providers.

15. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
